Indemnity

You agree to defend, indemnify and hold harmless Akorri, Inc., its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Site. Akorri, Inc. reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Akorri, Inc. in asserting any available defenses.

Applicable Law

These Terms of Use and all matters relating to your access to, and use of, the Site shall be governed by U.S. federal law and the laws of the Commonwealth of Massachusetts, excluding its conflicts of law rules. Any legal claim, action or proceeding relating to these Terms of Use or your access to, or use of, the Site shall be instituted only in a state or federal court in the Commonwealth of Massachusetts. You and Akorri, Inc. agree and submit to the exclusive personal jurisdiction of, and agree that venue is proper in, these courts in any such legal claim, action or proceeding.

Severability and Integration

Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Akorri, Inc. with respect to the Site and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Akorri, Inc. with respect to the Site. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
